1. Acceptance of Terms

By accessing or using PulseWidth software and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these terms, do not use our Services. These Terms constitute a legally binding agreement between you and UBT Performance, LLC, doing business as PulseWidth Tuning ("Company," "we," "us," or "our").

2. Description of Service

PulseWidth provides ECU tuning software and related services for Subaru vehicles. Our Services include ROM editing, ECU flashing, diagnostics, data logging, and related capabilities. The Services are intended for use by knowledgeable users who understand the risks and legal implications of vehicle modifications.

3. EPA & Emissions Compliance (CRITICAL)

IMPORTANT: The United States Clean Air Act (42 U.S.C. § 7522) and related regulations strictly prohibit tampering with motor vehicle emissions control systems. By using our Services, you acknowledge and agree to the following:

3.1 Federal Prohibition: It is a federal violation to manufacture, sell, offer to sell, or install any device or software intended to bypass, defeat, or render inoperative any emissions control device or system installed on a motor vehicle used on public roads.

3.2 No Defeat Devices: PulseWidth software is NOT intended to be used as a "defeat device" as defined under the Clean Air Act. We do not sell, provide, or support any calibrations or modifications designed to defeat emissions control systems on vehicles used on public roads.

3.3 User Responsibility: You are solely responsible for ensuring that any modifications you make to your vehicle comply with all applicable federal, state, and local emissions regulations. Violation of emissions laws may result in civil penalties up to $45,268 per vehicle and criminal prosecution.

3.4 Competition Use Only: Any calibrations or modifications that affect emissions control systems may ONLY be applied to vehicles that:

Are used exclusively for sanctioned competition events
Are never operated on public roads or highways
Have been de-registered for street use
Are covered by a valid Competition Use Agreement

3.5 Disclaimer Insufficiency: You understand that "for off-road use only" or similar disclaimers do NOT provide legal protection if products are used on, or likely to be used on, vehicles operated on public roads.

3.6 California (CARB): If you are located in California or your vehicle is registered in California, additional restrictions apply. Any ECU modification must have a valid California Air Resources Board (CARB) Executive Order (EO) number to be legal for street use. Vehicles with non-OEM software will fail smog inspections.

3.7 Platform Prohibition: You agree NOT to distribute, share, sell, or upload any tune files, calibrations, or modifications through our platform that are designed to defeat, bypass, or render inoperative emissions control systems on street-driven vehicles.

4. User Responsibilities

You agree to:

Use the software only on vehicles you own or have explicit written permission to modify
Comply with all applicable local, state, and federal laws regarding vehicle modifications, including but not limited to emissions regulations
Understand that ECU modifications may void manufacturer warranties
Accept full responsibility for any damage, legal consequences, or penalties resulting from your use of the software
Not use the software to create, distribute, or apply emissions defeat calibrations to street-driven vehicles
Complete and submit a Competition Use Agreement before applying any emissions-affecting modifications to a competition vehicle
Not reverse engineer, decompile, or create derivative works from our software
Not share your account credentials or license with others

5. Licensing

PulseWidth software is licensed, not sold. Your license grants you the right to use the software according to your subscription tier. Licenses are non-transferable except through our official license transfer process and may be revoked for violation of these Terms.

License tiers and features are described on our pricing page. We reserve the right to modify features and pricing at any time.

6. Prohibited Uses

You may NOT use our Services to:

Defeat, bypass, or render inoperative emissions control systems on street-driven vehicles
Create or distribute tune files that violate federal or state emissions regulations
Engage in any activity that violates the Clean Air Act or similar regulations
Infringe on intellectual property rights of others
Distribute malicious software or corrupt tune files
Engage in fraudulent activity or misrepresent your identity
Access others' accounts without authorization
Circumvent any security features of our software

7. Disclaimer of Warranties

THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR MEET YOUR SPECIFIC REQUIREMENTS.

MODIFYING YOUR VEHICLE'S ECU CARRIES INHERENT RISKS INCLUDING BUT NOT LIMITED TO: ENGINE DAMAGE, TRANSMISSION DAMAGE, VOIDED WARRANTIES, DECREASED RELIABILITY, EMISSIONS VIOLATIONS, AND OTHER MECHANICAL FAILURES. YOU ASSUME ALL RISKS ASSOCIATED WITH USING THIS SOFTWARE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UBT PERFORMANCE, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Damage to your vehicle, engine, transmission, or other components
Loss of use of your vehicle
Towing, repair, or replacement costs
Voided manufacturer warranties
Fines, penalties, or legal fees resulting from emissions violations
Loss of data or tune files
Lost profits or business interruption

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless UBT Performance, LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

Your use or misuse of the Services
Your violation of these Terms
Your violation of any applicable law, including emissions regulations
Any damage to your vehicle or third-party property
Any claim that your modifications caused harm to others

10. Intellectual Property

All intellectual property rights in the software, Services, and related content remain with UBT Performance, LLC. You may not reverse engineer, decompile, or disassemble the software except as permitted by law. Our trademarks, logos, and brand features may not be used without our prior written consent.

11. Termination

We reserve the right to terminate or suspend your access to our Services at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to:

Violation of these Terms
Distribution of emissions defeat devices through our platform
Fraudulent or illegal activity
Non-payment of fees
Abuse of the platform or other users

Upon termination, your license to use the software is immediately revoked and you must cease all use of the Services.

12. Payment Processing

Payment processing services for purchases made through PulseWidth are provided by Intuit Payments, Inc. By making a purchase, you agree to Intuit's Payment Terms of Service and acknowledge that your payment information will be processed in accordance with Intuit's Privacy Statement.

We do not store your complete credit card or bank account information on our servers. All payment data is handled directly by Intuit Payments in compliance with PCI-DSS standards.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State in which UBT Performance, LLC is registered, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Changes to Terms

We may modify these Terms at any time by posting the revised Terms on our website. Continued use of our Services after changes constitutes acceptance of the new Terms. Material changes will be communicated via email or prominent notice on our platform.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
