End User License Agreement

License, risk, legal-compliance, warranty, and liability terms for PulseWidth software.

Important—read before installing or using

This EULA is a binding contract between you and UBT Performance, LLC, doing business as PulseWidth Tuning. By accepting, installing, activating, or using the software, you accept this EULA and the incorporated Terms and policies. If you do not agree, do not install or use the software.

ECU editing, logging, live tuning, and flashing involve risk of data loss, an inoperable ECU or vehicle, engine or drivetrain damage, electrical damage, fire, property damage, personal injury, death, warranty loss, and civil or criminal consequences.

1. License grant and restrictions

Subject to payment, activation, and compliance, Company grants you a limited, revocable, non-exclusive, non-sublicensable license to use the applicable PulseWidth edition. The software is licensed, not sold. You may not share credentials, bypass security or licensing controls, extract protected content, or reverse engineer except to the limited extent a restriction is prohibited by applicable law.

2. Permanent vehicle and file-identity binding

A vehicle license may be bound to the selected vehicle and its protected original ROM/recovery file identity. Once the server records that binding, it is permanent, the license cannot be reassigned, and the purchase is non-refundable and non-transferable except where applicable law requires otherwise.

Returning the ECU to stock, removing PulseWidth features or ECU Protection, replacing an ECU or interface, selling the vehicle, closing an account, or uninstalling the software does not cancel or release the license and does not create a refund right. The original protected recovery point may remain retained for safety, audit, and restoration.

3. Your responsibility and assumption of risk

You are solely responsible for determining compatibility and legality; inspecting every selected change; maintaining stable power and verified backups; using suitable monitoring, test equipment, and procedures; and deciding whether and how to operate the vehicle. You accept responsibility for every tune, value, file, command, and flash you create, select, receive, distribute, or apply, including assisted or automated suggestions.

You assume the risks of equipment or vehicle damage, data loss, inability to recover an ECU, warranty loss, towing and repair costs, loss of use, property damage, personal injury, death, and legal or regulatory penalties resulting from your changes or use.

4. Legal and emissions compliance

The software is advanced calibration, diagnostic, scanning, logging, and data-acquisition tooling intended for trained users and automotive professionals developing, validating, restoring, or maintaining lawful emissions-compliant calibrations and for other independently lawful applications. The software does not certify any calibration, vehicle, part, or configuration, and account training is not an exemption, approval, or legal safe harbor.

You must comply with every applicable local, state/provincial, federal/national, supranational, and other law, including emissions, anti-tampering, type-approval, safety, road-use, inspection, registration, import/export, consumer-protection, and intellectual-property laws. This includes laws that may apply where you live and where the vehicle is registered, modified, operated, inspected, sold, imported, or exported. You may not use the software to bypass, defeat, or render inoperative an emissions-control device or element of design where prohibited, conceal a fault, falsify readiness, evade inspection, or misrepresent compliance. A foreign-market ROM, competition-only label, de-registration, training record, account opt-in, or private agreement does not itself create a legal exemption. You are responsible for obtaining qualified legal advice for your intended use.

Your acceptance, assumption of risk, and indemnity do not legalize a prohibited product or use and do not transfer away any independent legal duty that applies to Company. Company may disable, refuse, revoke, or report access or content where it reasonably believes a feature, calibration, transaction, or use creates legal or regulatory risk.

5. No warranties

The software and services are provided “as is” and “as available.” To the maximum extent permitted by law, Company disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, compatibility, safety, availability, and error-free operation.

6. Limitation of liability

To the maximum extent permitted by applicable law, Company and its affiliates, personnel, contractors, licensors, and suppliers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, data, goodwill, or use; vehicle, ECU, engine, drivetrain, electrical, or other equipment damage; towing, repair, replacement, or diminished-value costs; property damage; personal injury or death; warranty loss; or fines, penalties, legal fees, or regulatory consequences arising from the software, services, or your modifications.

To the maximum extent permitted by law, aggregate liability will not exceed the greater of amounts paid to Company for the software during the preceding twelve months or US $50. Nothing excludes or limits liability that cannot lawfully be excluded or limited.

7. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Company and its affiliates and personnel from claims, losses, liabilities, penalties, costs, and reasonable attorneys' fees arising from your use or misuse, your vehicle or ECU modifications, tunes or services you provide to others, violation of law or this EULA, User Content, or infringement of third-party rights.

8. Incorporated terms; electronic consent

The Terms of Service, Refund Policy, Privacy Policy, and Emissions Compliance Policy are incorporated by reference. Your electronic acceptance and the associated account, policy versions, date/time, vehicle, and network record may be retained as evidence of consent.
